Boardroom deliberation

THE CASE FOR COBALT LINDEN

What you gain from
an independent voice.

Working with us offers something distinct from what legal and financial advisors provide — a thinking partner with no stake in whether the transaction proceeds.

WHAT SETS US APART

Six qualities that define
how we work.

Complete Independence

We hold no commercial interest in whether a transaction proceeds. Our only obligation is to the quality of our counsel.

Absolute Confidentiality

Every engagement begins with a formal confidentiality arrangement. Client names are never used in any context outside the engagement itself.

Written Outputs

Every engagement concludes with a written deliverable — one you can return to, share with your board, or use to brief your legal and financial advisors.

Direct Principal Access

You work directly with the consultants conducting the engagement — not with account handlers or junior associates relaying messages on their behalf.

Malaysian Market Depth

We understand the specific context of doing business in Malaysia — regulatory, cultural, and relational — in a way that generalist international advisors typically do not.

No Artificial Urgency

We do not create pressure to move faster than the situation warrants. The right pace for a decision is determined by the complexity of the decision, not by advisory billing structures.

EXPERTISE

Deep experience in
Malaysian M&A contexts.

Our consultants have been involved in M&A advisory in Malaysia since the mid-2000s, spanning sectors including financial services, manufacturing, professional services, and family-owned conglomerates. This is not generic advisory transplanted from an international context — it is counsel shaped by years of direct engagement with the Malaysian market.

We understand how ownership structures in Malaysian businesses influence integration, how bumiputera considerations enter strategic decisions, and how family dynamics affect the feasibility of a combination that looks straightforward on paper.

Transactions that fail often do so because the cultural and organisational complexity was underestimated. We spend a significant portion of every engagement on exactly these dimensions.
Sector-specific knowledge

Advice informed by direct engagement across a range of Malaysian industries, not generic frameworks applied uniformly.

Regulatory familiarity

Awareness of SC, CCM, and sector-specific regulatory considerations that influence transaction feasibility and structure.

Family business experience

Understanding of the distinctive dynamics present in family-controlled businesses, which make up a significant share of mid-market M&A activity in Malaysia.

Structured methodology

Each engagement follows a clear sequence of activities, from initial briefing through analysis to written output, ensuring nothing important is overlooked.

Facilitated workshops

For integration planning work, structured working sessions with your leadership team help to surface disagreements early and build genuine alignment before they become costly.

Clear documentation

Written outputs from each engagement are designed to serve a practical purpose — briefing boards, informing legal advisors, or creating internal alignment.

PROCESS & METHOD

A process designed for
the task at hand.

We do not use generic templates applied identically to every client. Our process is structured but adaptive — the sequence of a Pre-Transaction Review, for example, will differ significantly depending on whether the business has considered a transaction before, what the ownership structure looks like, and how much internal alignment already exists in the leadership team.

Each service follows a clear process sketch, which we share with you at the outset. You know what to expect, when to expect it, and what it will require of your own time.

CLIENT EXPERIENCE

A working relationship
that respects your time.

We respond to all communications within one working day. Engagements are managed directly by the consultant leading your work — you will not find yourself navigating an organisation to reach the person you need.

We also recognise that thinking through a potential transaction can be personally as well as professionally significant for owner-managed businesses. We conduct our engagements with that in mind — with care for the people involved, not only the commercial outcome.

What clients tell us matters most:

  • Being heard without being hurried toward a predetermined recommendation
  • Having someone willing to raise the uncomfortable questions directly
  • Receiving advice in writing, so it can be read carefully and returned to
  • Knowing that what they share will not be discussed outside the engagement
  • Feeling that the engagement served their interests, not a transaction outcome

WHAT ONLY WE OFFER

Distinctive features of
our practice.

The Deal Consideration Session

A confidential three-hour session specifically designed for leaders who have received an approach and want to think through it carefully before deciding how to respond. This structured format is not commonly available elsewhere.

Written Reflections as Standard

All engagements include a written output as a standard deliverable, not an optional add-on. We believe advice that cannot be written clearly has not been thought through clearly.

No Third-Party Commissions

We operate with a strict policy of not accepting fees, referral payments, or any form of compensation from third parties in connection with our engagements. Your advisory is uncontaminated by other interests.

Willing to Counsel Against

Because we have no stake in whether a transaction proceeds, we are genuinely able to advise against one if our assessment suggests it is not in your interest. This is a position few transaction advisors can honestly claim.
